Who we are
Opaya AI LLC operates opaya.ai. Opaya’s products are provided by Opaya AI LLC and its affiliates, and each product is provided under its own agreements:
- Opaya Wealth, for individuals, at opaya.app.
- Opaya Private Wealth, for high-net-worth families and individuals, including private-market and alternative investments, at dvgria.com.
- Opaya Enterprise, for advisers, funds and banks, at angelpond.com. It brings together two offerings: Financial intelligence & risk management, and Financial services.
Regulatory status
Neither the SEC nor FINRA has approved or endorsed Opaya, Puissance Capital Management LP, Angel Pond Capital LLC or any information on this site.
Investment adviser
Investment advisory services are provided by Puissance Capital Management LP, an investment adviser registered with the U.S. Securities and Exchange Commission (SEC file number 801-135328, CRD number 175226). Registration with the SEC does not imply a certain level of skill or training. You can find more information about Puissance Capital Management LP on the SEC’s Investment Adviser Public Disclosure website.
Broker-dealer
Brokerage services are provided by Angel Pond Capital LLC, a broker-dealer registered with the SEC (SEC file number 8-69910), a member of the Financial Industry Regulatory Authority (“FINRA”) (CRD number 287761) and a member of SIPC. Advisory and brokerage services
Advisory and brokerage services are different. Their fees differ, and the duties owed to you differ. It is important that you understand the differences.
- Advisory services. When Puissance Capital Management LP acts as your investment adviser, it owes you a fiduciary duty under the Investment Advisers Act of 1940. It generally charges an advisory fee, and its services are described in your advisory agreement.
- Brokerage services. Angel Pond Capital LLC provides private placement, capital-raising and M&A advisory services. It does not carry customer accounts or hold customer funds or securities. Its services and fees are described in the agreements you sign with it.
Separate agreements. Each service is provided only under its own written agreement with the company that provides it. The agreements for your product name the company you contract with, and describe the services, fees and terms that apply.
Affiliated companies. Puissance Capital Management LP and Angel Pond Capital LLC are affiliates under common control. When both provide services to you, each may be paid for its services. That creates a conflict of interest.
Our products and linked sites
This site introduces Opaya and links to our product sites. Each product site has its own terms, privacy notice and disclosures, and those govern the product.
- opaya.app and dvgria.com are operated by Opaya AI LLC or its affiliates.
- angelpond.com is where Opaya Enterprise is offered, under the AngelPond name. Opaya AI LLC and Angel Pond Capital LLC are affiliated companies under common control.
Opaya Enterprise is designed for advisers, funds and banks, and its services are provided under agreements with those institutions. It is not offered to individual investors through this site.
This site may also link to websites that Opaya does not control. We provide those links for convenience. A link does not mean that we endorse a site or its content, and we are not responsible for it.
Agents and automated advice
What our agents do
Opaya is agent-native. Our products use a fleet of specialised AI agents, each with a defined role:
- The Watcher keeps an eye on accounts and markets, so nothing important slips by.
- The Analyst works out what changed, and why it matters.
- The Planner prepares clear options for the client to choose from.
- The Guardian checks every step against the client’s limits and the rules.
- The Explainer tells the client what happened, in plain words.
Limits and authority
Agents act only within the limits the client sets and the authority the client’s agreement gives. Anything outside those limits waits for the client’s approval. The agreements for each product describe which actions agents may take and which need approval.
Human oversight
People at Opaya design, test, approve and supervise our agents. They review samples of agent work and correct problems they find. Where agents support advice from Puissance Capital Management LP, that affiliate remains responsible for the advice it provides.
Limitations
- Models can be wrong. Agents rely on data, models and assumptions that may be incomplete, out of date or incorrect. Their outputs can be inaccurate, can sound confident when they are wrong, and may differ for similar questions.
- Unusual markets. Models may behave unexpectedly in conditions unlike those they were built and tested on.
- Technology risk. System failures, outages, delays and errors in third-party data or services can affect what agents see and when they act.
- Limits are not protection. Limits you set can control what agents do. They cannot remove market risk, and they do not prevent losses.
- Taxes. Automated actions, such as rebalancing, may have tax consequences for you.
Third-party AI providers
Some agents use models and infrastructure from third-party providers. Our Privacy Policy explains how agents use personal information.
No guarantee
Agent-assisted and automated services do not guarantee any result, and they do not protect against loss. AI features on this site provide general information only and are not personalized advice.
Illustrative scenarios and fictional people
This site uses illustrative scenarios to show how people might work with Opaya.
- Fictional people. The people in our scenarios, such as Kelvin, Claire and Priya, are fictional. They are not clients, and the images of them do not depict real people.
- Not testimonials. The scenarios are not testimonials or endorsements, and no one was paid to appear in them.
- No performance. The scenarios contain no performance figures, no hypothetical performance and no other numbers. They are not a promise or prediction of any outcome.
- Simplified. The scenarios are simplified. Features shown may not be available to every client, in every product or in every place, and your experience will depend on your circumstances and your agreements.
Investment risks
- Risk of loss. All investing involves risk, including possible loss of principal. The value of investments, and the income from them, can fall as well as rise.
- Past performance. Past performance does not guarantee or predict future results.
- No assurance of outcome. Diversification, asset allocation, rebalancing and risk monitoring do not guarantee a profit or protect against loss in a falling market.
- Market and economic risk. Prices move with markets, interest rates, inflation, currency rates, and political and economic events.
- Concentration. Holding a large share of your assets in a single investment, sector or asset class increases risk.
- Liquidity. Some investments may be hard to sell quickly, or may only be sold at a loss.
- Fees and costs. Fees and costs reduce returns, whether investments rise or fall.
- Forward-looking statements. Opinions and estimates are current only as of the date they were made, may change without notice, and may not come true.
Private-market and alternative investments
Investor eligibility
Opaya Private Wealth may offer access to private funds, private equity, private credit, real estate, venture capital and other alternative investments. These investments are available only to investors who meet the applicable eligibility standards. Depending on the investment, these may include being an “accredited investor” under Regulation D, a “qualified purchaser” under the Investment Company Act of 1940, or a “qualified client” under the Investment Advisers Act of 1940. Some investments also have minimum investment amounts or other requirements.
Before a subscription is accepted, Opaya or the issuer may ask you to confirm your status, and may require documents and independent verification. Nothing on this site offers or describes any specific private investment.
Risks
Private-market investments are speculative and involve a high degree of risk. They are suitable only for investors who can bear these risks for an indefinite period and can afford to lose their entire investment. Risks include:
- Total loss. You could lose all of your investment.
- Illiquidity. Holding periods are long, often many years, and you may have little or no ability to redeem or transfer your interest.
- Capital calls. You may be required to fund commitments when called. Failing to do so can have serious consequences, including loss of your interest.
- Valuation uncertainty. Valuations may be infrequent and based on estimates rather than market prices.
- Fees and expenses. These are often higher than for publicly traded investments, and they reduce returns.
- Limited information. Transparency, reporting and regulatory oversight may be limited compared with public markets.
- Leverage and concentration. These can magnify losses.
- Complex taxes. Tax treatment can be complex, and tax documents may arrive late.

Each investment is governed by its offering documents, such as a private placement memorandum, subscription agreement and fund governing documents. They contain the full terms and risk factors, and they control if anything on this site differs from them. Read them carefully, and consult your own advisers, before you invest.
Where Puissance Capital Management LP or Angel Pond Capital LLC receives compensation from a fund sponsor or issuer, that is a conflict of interest. Any such compensation is described in the offering documents.

Business continuity
Angel Pond Capital LLC maintains a business continuity plan designed to respond to significant business disruptions, such as the loss of a building, a city-wide or regional event, or the failure of a critical system or service provider.
- Our approach. The plan covers data backup and recovery, critical systems, alternate locations, alternate ways of communicating with customers, employees and regulators, and the continued operation of key counterparties and service providers.
- Disruptions of varying scope. For a disruption affecting only our firm or one of our buildings, we plan to move to alternate systems or locations and continue business. For a wider disruption affecting a business district, city or region, we plan to move operations to locations outside the affected area and continue business where we can.
- Customer assets. Angel Pond Capital LLC does not hold customer funds or securities.

Communications
- Electronic delivery. Account statements, confirmations and regulatory documents are delivered under the electronic delivery consent in your product agreements.
- Recording. We may monitor and record calls, video meetings, chats and emails for quality, security, compliance and recordkeeping. Where the law requires it, we will tell you that we are recording.
- Social media. Content we post on social media is general information, not personalized advice. We do not endorse third-party comments or content.
- Protecting yourself. We will never ask for your password or a one-time passcode by email, text, phone or social media. If you receive a message that claims to be from Opaya and looks wrong, do not respond. Write to [email protected].
- Unsecured email. Please do not send account numbers or identification documents by unsecured email. Use the secure channels in your product.
